Article 2: Payment：
1. 70% deposit: RMB，Mould fee: RMB（Once the num of offset printing amounts to100,000 and the num of flexography amounts to 300,000 in one year, the mould fee can be returned.）. Total: RMB. For clients in Beijing, the balance should be payed off in shipments. For others, the balance should be payed off before shipments.
Article 3: Production Methods:
1. Part B should provide Part A with related materials used in production, such as patterns and color code and deposit when signing the contract. Part A should supply inking sample, which must be confirmed and signed by Part B.
2. Delivery Time: The production should be finished in ________ days according to the delivery terms. If not, installment delivery shall be adopted. The first batch should meet delivery condtions in_________________(YYYY-MM-DD) and the banlance should meet delivery conditions in_________________(YYYY-MM-DD). And the full payment is required on the day of the first batch delivery.
Article 4: Quanlity Standard
1. When signing the contract, Part A should provide the samples with the same raw materials in contract as Part A required. Part A and Part B should confirm the materials and sign.
2. Because of printing technology and materials’ Specificity, a certain deviation is allowed in printing color. If Part A and Part B have confirmed the sample and signed, the products shall be inspected as the sample.
3. Because of the specificity in printing industry, Part A may deviate up to 5% from the agreed quantities, and the actual payment shall be settled as true delivery.
Article 5: Terms of Inspection
1. Production shall be carried out selective inspections according to “Quality Standard” in this contract.
2. If no objections in ______ days from Part B, products are considered as qualified.
Article 6: Transportation
1. In Beijing____________________________________.
2. In other cities, the long distance transportation costs will be borne by Part B. Part A can take the delivery, and the transportation risk in shipments shall be took by Part A,but it will be took by Part B after shipments
Article 7: Others
1. If any additional orders from Part A or in the second production, Part A will produce according to quality standart in Article 4. Any raw materials change, please sign a new contract.
2. Any quality problems during inspection period, Part A are responsible to substitute with qualified ones.
3. If samples are required, Part B shall pay samples fee (200 RMB) and flexo fee (500 RMB) in the first contract.
4. Any factors from Part B affects delivery time, Part B shall pay 0.1% surcharge of the full payment per day. And delivery time should be delayed. For example, Part B can’t provide related materials, such as patterns and color code.
5. If Part B asks for long time stock, it shall inform Part A in writing and send a fax. Once supply (Part A) –demand (Part B) relationship is changed, Part B shall inform Part A in writing and promise to buy all the stock that Part B required in advance. If not, Part B must pay 80% percent of the full products in warehouse as compensation money for Part A.
6. As long as Part B has not paid the full purchase price, title in the products shall remain with Part A （Whatever the products are in the warehouse of Part A or Part B.）If payment is not made in time or in full in ______ days, Part B have the right to take the products back or require Part A to pay according to the contract.
7. Each shipment of products shall be paid in full by Part B. If payment has not been made on the due date, Part B shall owe interest on the amount due over the period elapsed since the due date; interest shall be calculated at 7 ‰ percent surcharge per day. If Part A can’t provide products as delivery schedule, it shall pay the 7 ‰ percent surcharge of full payment per day.
8. All disputes arising from the performance of this contract should be settled through friendly negotiations. If no settlement could be reached through negotiation, the case shall then be submitted for arbitration to Beijing Chaoyang District People's Court.
9. Force Majeure. Either party shall inform the other party for failure or delay to perform all or any part of the contract due to Force Majeure and take active measures to reduce loss. And the party affected by the Event of Force Majeure shall send an official certificate of the Event issued by the relevant authority to the other party but no later than 30 days after its occurrence. Part or all of the responsibilities could be exempted.
10. Inventory period: Products that Part B ordered can stock in the warehouse of Part A for only 3 months. If failing to meet the time limit, Part B shall pay the holding cost, calculated in_____RMB/m².

Article 8
This contract consists of two identical copies, and each party keeps one. It takes effect after being signed and sealed by both parties.
